Terms of Service

These Terms of Service (“Terms”) are an agreement between you and ThreePedals LLC (“ThreePedals,” “we,” “us”). They govern your use of our apps, website, and related services (the “Service”).

By creating an account or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.

Eligibility

You must be at least 18 years old and have the legal capacity to enter a contract. The Service is currently offered only to residents of the United States.

What ThreePedals is

ThreePedals is a triage tool for used-car buyers. We provide findings, comparisons, and chat responses based on inputs you provide, intended to help you decide whether a vehicle is worth a pre-purchase inspection.

The Service is for informational purposes only and is not a substitute for a pre-purchase inspection by a qualified mechanic. You are responsible for verifying any information from the Service before relying on it to make a purchase decision.

Your account

You’re responsible for the security of your account and for activity that occurs through it. Tell us promptly if you suspect unauthorized access. You may not share your account.

Payments

The Service is offered through credit packs (one-time purchases) and subscriptions (recurring). Pricing, the number of credits per pack, and any usage limits are shown at the point of purchase or within the Service.

Credits granted by a credit pack do not expire. Subscriptions renew automatically until canceled; you may cancel at any time, with cancellation taking effect at the end of the current billing period.

Fair use limits may apply to subscriptions and are described within the Service. They exist to prevent abuse.

Payments are processed by our payment providers under their own terms. We don’t receive or store full payment-card information. Refunds, where available, are described within the Service; App Store and Mac App Store purchases are subject to Apple’s refund policy.

We may change pricing or fair-use limits for future purchases. Changes do not affect credits already purchased or the current period of an active subscription. We will not impose new fees or charges on credits or subscription periods you have already purchased.

Your content

You retain ownership of the content you submit to the Service (listing URLs, photos, documents, notes, chat messages, outcomes, and feedback). By submitting content, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable license to host, copy, store, process, transmit, display, adapt, modify, and create derivative works of that content for purposes of operating, personalizing, improving, and promoting the Service, including to train, fine-tune, and improve the AI models and features that power our findings, comparisons, and chat responses, and to generate aggregated and de-identified insights that benefit the Service and other users. This license survives termination of your account with respect to content used in derivative works and aggregated insights already created.

Your warranties. You warrant that you have the right to submit the content you submit, including any photos and documents you upload, and that doing so does not violate any third party’s rights.

You agree not to:

We may suspend or terminate your account for violations and, where the violation involves commercial use without a commercial agreement, may charge for past usage at our then-current commercial rates.

Intellectual property

The Service — including all software, designs, text, the ThreePedals name and marks, and other branding — is owned by ThreePedals LLC and protected by US and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes only, in accordance with these Terms.

You acknowledge that monetary damages may not provide an adequate remedy for breach of these Terms relating to our intellectual property or the Acceptable use restrictions, and that we are entitled to seek injunctive or other equitable relief in court to enforce these rights, without the requirement of posting a bond.

Third-party services and content

The Service may interact with third-party platforms and providers. We’re not responsible for their content, accuracy, or availability, and we make no representations about vehicles, sellers, auctions, or transactions outside our Service. Your dealings with sellers, mechanics, dealers, transporters, and lenders are solely between you and them.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We don’t warrant that findings are accurate, complete, or current, or that the Service will be uninterrupted, secure, or error-free. You assume all risk of purchasing or not purchasing any vehicle based in whole or in part on the Service. We strongly recommend an in-person pre-purchase inspection by a qualified mechanic before any used-vehicle purchase.

We do not warrant the vehicles you research using the Service. We do not own, inspect, possess, or transfer ownership of vehicles. We make no representations about the title, mechanical condition, history, accident record, mileage accuracy, or value of any vehicle.

Vehicle information ingested from third-party sources — including auction platforms, marketplaces, dealer sites, and seller-submitted listings — is provided by those platforms and their users. We are not responsible for inaccuracies or omissions in source-platform data, listing edits made after capture, seller misrepresentation, or the availability of any source platform. Any cost estimates, market ranges, or repair budgets surfaced by the Service are informational only; actual third-party shop pricing, parts availability, and labor outcomes will vary.

Limitation of liability

To the maximum extent permitted by law, ThreePedals will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages — including lost profits, lost data, loss of goodwill, or business interruption — arising from or related to the Service or these Terms.

Our total cumulative liability to you for all claims, in aggregate, will not exceed the total amount you paid us for the Service in the 12 months immediately preceding the event giving rise to the claim.

This cap does not apply to (a) your obligations under Indemnification, (b) your obligations under Acceptable use, or (c) liability that cannot be limited by applicable law (including liability for fraud, gross negligence, or willful misconduct).

Some jurisdictions don’t allow these exclusions or limitations. To the extent those laws apply to you, parts of this section may not.

Copyright complaints

If you believe content on the Service infringes your copyright, send a notice to legal@threepedals.ai that includes:

  1. Your physical or electronic signature.
  2. Identification of the copyrighted work.
  3. Identification of the material claimed to be infringing, with enough detail for us to locate it.
  4. Your contact information.
  5. A statement that you have a good-faith belief the use is not authorized.
  6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.

We will investigate and remove infringing material if the notice is valid. Repeat infringers will have their accounts terminated.

Indemnification

You agree to indemnify and hold harmless ThreePedals LLC, its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your violation of these Terms or any third-party right.

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access for material violation of these Terms or for legal reasons.

The following sections survive any termination: Your content (license grant only), Acceptable use, Intellectual property, Third-party services and content, Disclaimers, Limitation of liability, Copyright complaints, Indemnification, Governing law and venue, Arbitration and dispute resolution, and Miscellaneous.

Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to the Arbitration and dispute resolution section below, any dispute not covered by arbitration will be brought exclusively in the state or federal courts located in Sacramento County, California, and you and we consent to personal jurisdiction in those courts.

Arbitration and dispute resolution

Informal resolution first. If you have a dispute with us, please contact legal@threepedals.ai with a description of the dispute and the relief you seek. The parties will try in good faith to resolve the dispute informally within 60 days of receipt. You may not commence arbitration during this period.

Binding individual arbitration. If the dispute is not resolved within 60 days, any claim arising from or related to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. Arbitration will be held in Sacramento, California, or, at your option, by phone or video conference. The arbitrator’s decision is final and may be entered as a judgment in any court of competent jurisdiction.

Class action and representative action waiver. To the maximum extent permitted by law, you and ThreePedals agree that any dispute will be brought only on an individual basis, and not as part of a class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any class, collective, or representative proceeding.

Carve-outs. Either party may bring an individual action in small-claims court for claims that qualify, in the county of the responding party’s residence. Either party may seek injunctive or other equitable relief in court at any time to protect its intellectual property, trade secrets, or confidential information, without first attempting informal resolution or arbitration.

Federal Arbitration Act. This Arbitration and dispute resolution section is governed by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.), which preempts state law on arbitrability.

Jury trial waiver. To the maximum extent permitted by law, you and ThreePedals waive any right to a jury trial. This waiver survives even if the arbitration provisions are held unenforceable.

Severability of this section. If the class-action waiver is held unenforceable as to any particular claim or remedy, then that claim or remedy (and only that claim or remedy) will be severed from arbitration and brought in the courts named in Governing law and venue. The remaining portions of this section survive.

Changes

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent change. For material changes, we’ll provide reasonable advance notice by email or in-app before the change takes effect. Continued use of the Service after that date constitutes acceptance.

Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and ThreePedals regarding the Service.

Severability. If any provision is held unenforceable, the remaining provisions remain in effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our consent. We may assign these Terms to a successor in connection with a sale, merger, or reorganization.

Apple App Store and Mac App Store

The following terms apply only to your use of the Service through an application obtained from the Apple App Store or Mac App Store (the “App”). In the event of any conflict with the rest of these Terms, the terms in this section control as to that App.

Parties. These Terms are entered into between you and ThreePedals LLC only, and not with Apple Inc. (“Apple”). ThreePedals, not Apple, is solely responsible for the App and its content.

Scope of license. The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

Maintenance and support. ThreePedals is solely responsible for providing any maintenance and support services for the App. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.

Warranty. ThreePedals is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be ThreePedals’ sole responsibility.

Product claims. ThreePedals, not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession and use of it, including: (a) product-liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer-protection, privacy, or similar legislation.

Intellectual property. In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, ThreePedals, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such infringement claim.

Legal compliance. You represent and warrant that (a) you are not located in a country that is subject to a US Government embargo, or that has been designated by the US Government as a “terrorist-supporting” country, and (b) you are not listed on any US Government list of prohibited or restricted parties.

Developer contact. Direct any questions, complaints, or claims regarding the App to legal@threepedals.ai.

Third-party terms of agreement. You must comply with applicable third-party terms of agreement when using the App.

Third-party beneficiary. You acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
